#Glase API Terms and Conditions
Effective as from October 21st, 2013
These terms and conditions (the “Terms & Conditions”) govern the use of applications programming interfaces (“API”) provided by Glase Payments AB and any of its affiliates or subsidiaries (collectively “Glase”).
By using Glase’ API and corresponding documentation (the “GAPI”) made available to you at the GAPI web site, you accept and agree to be bound by the Terms & Conditions, as amended from time to time, the most current version available at developer.seqr.com/legal. If you disagree to the Terms & Conditions, you may NOT use the GAPI.
Glase reserves the right to make changes to the Terms & Conditions, at its sole discretion and without notice. The continued use of the GAPI after the posting of any changes to the Terms & Conditions will constitute an acceptance of such changes.
##1. The Glase API web site To obtain access to the GAPI, you must request login credentials to the Glase API web site.
You are responsible for keeping your login credentials in a safe manner and in a way that they remain inaccessible to unauthorised persons. The login credentials are personal and may not be transferred to or used by someone else than yourself.
Glase reserves the right, in its sole discretion, to reject any request to use the Glase API web site for any reason. Glase shall not be liable for damages of any sort resulting from its decision to reject such a request.
##2. License The GAPI is owned by Glase and is licensed to you on a limited, non-exclusive, non-transferable and revocable basis as set forth in the Terms & Conditions which define the permissible use of the GAPI.
##3. Basic terms for your use of the GAPI You are solely responsible for your use of the GAPI and you must ensure that your use of the GAPI complies with all applicable laws and regulations.
You may not use the GAPI
- to demonstrate a comparison between Glase and its competitors or to otherwise promote the goods or services of any Glase competitor;
- in any manner that is not expressly authorised in the Terms & Conditions;
- to modify, edit, disassemble, decompile or reverse-engineer the GAPI;
- for any illegal or unauthorised purpose or in a manner that may infringe any intellectual property or other right of Glase or any third party.
##4. Non-commercial use of the GAPI Non-commercial use of the GAPI is allowed solely for facilitating tests and test related purposes. During non-commercial use you may not use the Intellectual Properties or in any way try to commercially explore the GAPI.
##5. Commercial use of the GAPI Prior to any commercial use
- your service(s) must have been certified by Glase;
- you must have entered into a separate software integration agreement with Glase.

Modifications to the GAPI Glase reserves the right to, at its sole discretion, at any time and with or without notice to you, modify and to release new versions and releases of the GAPI. Glase will make reasonable efforts to keep the GAPI operational but reserves the right to, at any time and from time to time, with or without notice to you, modify, suspend or discontinue, temporarily or permanently, functions and features as well as performance of the GAPI.
##6. Term and termination Your right to use the GAPI shall commence on the date upon which you agree to the Terms & Conditions or otherwise commence use of any portion of the GAPI, and shall continue in force thereafter unless terminated as hereinafter provided.
Glase may terminate your right to use the GAPI at any time and without notice, for any reason, or for no reason, without any liability to you. You may terminate your contractual relationship to Glase based on your use of the GAPI by ceasing all use of the GAPI. Upon the termination of your right to use the GAPI, all license rights granted herein shall terminate.
##7. Intellectual Properties The GAPI and the trade names, trademarks, service marks, logos, domain names, and other distinctive brands belonging to Glase (the “Intellectual Property”) is the property of Glase (or Glase’ licensors) and protected by intellectual property law.
You may not
- use the Intellectual Property in any manner not covered by the Terms & Conditions;
- use any Intellectual Property in any manner that implies a relationship or affiliation with Glase;
- remove or alter any copyright, trade mark or other intellectual property notices contained on or provided through the Intellectual Property.
After entering into a software integration agreement with Glase according to clause § 5, your right to use the Intellectual Property may be extended.
For the avoidance of doubt, nothing in the Terms & Conditions shall be construed to convey, and you shall not acquire, any ownership interest in the Intellectual Property. You shall not contest, or assist others in contesting, the validity, enforceability, ownership or title of any Intellectual Property.
##8. Disclaimer of Warranties and Limitation of Liability YOUR USE OF THE GAPI IS AT YOUR SOLE RISK. THE GAPI IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. Glase EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
Glase MAKES NO WARRANTY, EXPRESSED OR IMPLIED, AS TO THE FUNCTIONALITY, QUALITY, CONTENT, PERFORMANCE, AVAILABILITY OR FITNESS FOR ANY SPECIFIC PURPOSE OF THE GAPI. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM Glase SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
IN NO EVENT SHALL Glase BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OR YOUR INABILITY TO USE THE GAPI. YOUR ONLY RIGHT WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH THE GAPI IS TO STOP USING THE GAPI.
##9. Governing law The Terms & Conditions shall be governed by the laws of Sweden without regard to its conflict of law provisions. You and Glase agree to submit to the personal and exclusive jurisdiction of the courts of Sweden.
